BY-LAWS

BASKETWEAVERS GUILD OF OKLAHOMA

 

 

 

ARTICLE I – NAME

 

The name of the organization shall be BASKETWEAVERS GUILD OF OKLAHOMA, a non-profit organization.

 

ARTICLE II – PURPOSE

 

The object of BASKETWEAVERS GUILD OF OKLAHOMA is the preservation, promotion and education of the art of basketry.

 

ARTICLE III – MEMBERSHIP

 

Membership in BASKETWEAVERS GUILD OF OKLAHOMA shall be open to anyone interested in furthering the purpose of this organization, accompanied by the payment of annual dues

 

ARTICLE IV – DUES

 

Section 1:              The annual dues will be $25.00 due January 1 of each year unless amended, beginning January 1, 2024.  Dues are non-refundable.

 

Section 2:              Members whose dues have not been received by February 1 shall result in forfeiting membership and shall be dropped from the membership list.

 

Section 3:              Membership may be reinstated upon payment of full amount of dues.

 

ARTICLE V – NOMINATIONS AND ELECTIONS

 

Section 1:              The elected officers of  BASKETWEAVERS GUILD OF OKLAHOMA shall be President, Vice-President, Secretary, and Treasurer.  The elected officers will serve a term of two years.

 

Section 2:              Elections shall be held in October of odd years for President and Treasurer and even years for Vice-President and Secretary.

 

Section 3:              The term of office shall begin upon the adjournment of the December meeting.

 

ARTICLE VI – DUTIES OF OFFICERS

 

Section 1:              Duties of the President

a.                   Preside at all meetings.

b.                   Direct and coordinate the program and the activities of the guild meeting according to the by-laws.

c.                    Prepare a written agenda for all meetings.

d.                   Create and dissolve committees as necessary.

 

Section 2:              Duties of the Vice-President

a.                   Works in close cooperation with the President.

b.                   Schedule projects and/or programs at regularly scheduled meetings.

c.                    Perform such duties as may be assigned by the President.

d.                   Preside in the absence of the President.

 

Section 3:              Duties of the Secretary

a.                   Record all minutes of the guild.

b.                   Be responsible for coordinating and distributing a membership roster.

c.                    Be custodian of all records and papers pertaining to the office and pass on all records and papers to the incoming Secretary.

 

 

Section 4:              Duties of the Treasurer

a.             Receive and deposit all revenues of the guild and pay all authorized bills, keeping an itemized account of all disbursements and receipts in depositories designated by the officers.

b.             Obtain the required signature cards and forms from the designated financial institutions for the officers qualified to sign.

c.             Present a written financial report at each regular meeting.

d.                   Be custodian of all records and papers pertaining to the office and pass on all records and papers to the incoming Treasurer.

 

Section 5:              Membership Coordinator – volunteer position, non-elected.

 

Section 6:              Weavers Weekend Coordinator – volunteer position, non-elected.

 

ARTICLE VII – NEWSLETTER

               

Section 1:              A newsletter will be the primary means of communication among the members.

Section 2:              Newsletter editor is a volunteer position.

Section 3:              Newsletter editor will be responsible for compilation and distribution.

Section 4:              Secretary will provide a current mailing list to newsletter editor.

 

ARTICLE VIII – MEETINGS

 

Section 1:              The meetings of BASKETWEAVERS GUILD OF OKLAHOMA will be held the second Saturday of the following months:  February, April, June, August, October and December.  The meeting will be held at the National Cowboy and Western Heritage Museum in Oklahoma City or a site approved by guild officers.

Section 2:              Special meetings of the membership may be called by the President at a site designated by the President.  Written notice, by newsletter or special mailing, must be given to all members in such an event.

Section 3:              A quorum shall be the members of the guild present and entitled to vote.

 

ARTICLE IX – DISSOLUTION

 

Section 1:              In the event of dissolution, the elected officers at the time of dissolution shall, after paying or making provision for the payment of debts, dispose of all remaining assets to a legally constituted, non-profit organization.

Section 2:              None of the property or any other asset of the guild nor any portion thereof shall be distributed to or for the use of any member of BASKETWEAVERS GUILD OF OKLAHOMA.

 

ARTICLE X – AMENDMENTS

 

Section 1:              The by-laws may be amended at any general membership meeting by a two-thirds vote of those present and voting providing the proposed amendment(s) has been submitted in writing and presented to the members one month prior to the vote.

Section 2:              By-laws will be reviewed yearly or as needed for the operation of the guild.
